Terms of Service

"PROSCORE," "we," "us," and "our" mean PROSCORE Inc. (state of formation to be confirmed). "Academy" means the sports organization that uses PROSCORE to manage its players. "Service" means the PROSCORE website at proscore.io and the application at app.proscore.io. "Minor" means a person under 18. "Parent" means a parent or legal guardian.
1. Acceptance of these Terms
By creating an account or using the Service, you agree to these Terms. If the account is for, or the use concerns, a minor, a parent or guardian must accept these Terms on the minor's behalf, and that parent or guardian is responsible for the minor's use of the Service. A minor cannot enter into these Terms alone, and nothing here is intended to bind a minor to obligations a minor cannot lawfully accept.
We record which version of these Terms you accepted and when.
2. Eligibility and age
- To create or manage an account as an adult, you must be 18 or older.
- A minor may be represented in the Service only through a parent-accepted arrangement.
- Where a child login exists, the minimum age is to be confirmed. For a child under 13, a child account may exist only after verifiable parental consent, described in our Privacy Policy.
3. Accounts, roles, and the Academy relationship
The Service is organized around Academies. Your account has a role — parent, coach, administrator, recruiter, or, where enabled, player — and each role can see and do different things.
The Academy controls much of what happens and what is visible. The Academy configures features such as team chat, recruiter access, contact-detail sharing, and video retention. Some choices are the Academy's and some are yours; the Privacy Policy explains which. You are responsible for keeping your login credentials secure.
4. Acceptable use and prohibited conduct
You agree not to:
- Post, in chat, announcements, or shared media, anything harassing, threatening, sexual, exploitative, or otherwise harmful — with particular care because minors are the subject of this Service;
- Share another family's contact details or a child's information beyond the permission you were given;
- Distribute a share link, clip, or broadcast page in a way that exposes a child beyond what that child's parent has agreed to;
- Circumvent, probe, or overload the Service, its access controls, or its partner endpoints;
- Use the Service to build a profile of, or make contact with, a child outside the Service's permitted recruiting flow.
5. User content and likeness license
You may submit content such as photos, video, and profile details, and coaches and Academies submit content about players.
Your license to us is narrow and purpose-limited. You grant PROSCORE and the Academy a license to host, display, and process submitted content only to operate the Service for the Academy, the player, and their family. This is not a license to use a child's name, image, likeness, or performance for advertising or third-party promotion. Any such use requires separate, specific consent given by the child's parent.
For a minor's content and likeness, the parent grants and may revoke this license. On revocation we stop the licensed use going forward; some already-distributed public links may persist beyond our control.
6. Payments and subscriptions
Core use of PROSCORE is free for families. Subscription plans, billing cadence, renewal terms, and the refund policy are to be confirmed. Where a subscription automatically renews, we will present clear and conspicuous renewal disclosures, obtain affirmative consent before charging, and provide an easy cancellation path as California law requires.
7. Parent-approval flow and family spending controls
A minor's paid actions do not complete until a parent approves them, and parents may set family spending controls. These are spending controls only — they are not, by themselves, the verifiable parental consent that children's-privacy law requires for data collection.
8. Third-party services and integrations
The Service integrates third parties including payments, hosting, calendar providers, AI processing, and account-lifecycle services. Your use of an integration may also be governed by that third party's terms. We are not responsible for third-party services except as our agreements with them and applicable law require.
9. Intellectual property
The Service and all software, design, and content we provide — excluding content submitted by users and Academies — belong to PROSCORE Inc. or its licensors. You may not copy, resell, or create derivative works from the Service without our written permission.
10. Suspension, termination, and your data
We may suspend or terminate access for conduct that violates these Terms or endangers a child. You may close your account at any time. On termination, we handle your data as described in the Privacy Policy, including deletion rights and the records we are required to keep.
11. Disclaimers, limitation of liability, and indemnity
The Service is provided on an "as is" and "as available" basis without warranties of any kind to the fullest extent the law allows. Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud, willful misconduct, or a party's obligations regarding a child's safety. You agree to indemnify us for claims arising from content you submit or your misuse of the Service.
12. Dispute resolution, governing law, and venue
Governing law, venue, and whether disputes proceed in court or arbitration are to be confirmed pending counsel review. We will publish these terms in full before they take effect.
13. Changes to these Terms
We may update these Terms. We will post the new effective date and, for material changes, provide reasonable notice. A material change affecting a child's data may also require fresh parental consent before it takes effect for that child. Continued use after a change means you accept the updated Terms, except where fresh consent is required.
